SHAREHOLDERS COMMUNICATION POLICY

To ensure the effective communications between the Company and our shareholders, we have formulated communication policies with shareholders pursuant to the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “Hong Kong Listing Rules”), the Articles of Association of the Company (the “Articles”), and the Company Ordinance (Chapter 622 of the Laws of Hong Kong) (the “Companies Ordinance”). 


CORPORATE COMMUNICATIONS

“Corporate Communication(s)” refers to any document issued or to be issued by the Company for the information or action of holders of any of the Company’s securities as defined in Rule 1.01 the Hong Kong Listing Rules, including but not limited to: (a) the directors’ report, its annual accounts together with a copy of the auditors' report, and, where applicable, its summary financial report; (b) an interim report, and where applicable, its summary interim report; (c) a notice of meeting; (d) a listing document; (e) a circular; and (f) a proxy form.


The Company will supply Corporate Communications to holders of the shares of the Company listed on the The Stock Exchange of Hong Kong Limited (the “Hong Kong Shares”) through electronic means, provided that the Company has obtained consent from such shareholders in doing so in accordance with the Hong Kong Listing Rules, the Companies Ordinance, and the Articles. Notwithstanding the foregoing, both the English and Chinese versions of all future Corporate Communications will also be available electronically on the website of the Company at www.cnoocltd.com and the HKEXnews website at www.hkexnews.hk.  For holders of the shares of the Company listed on the Shanghai Stock Exchange (the “SSE”),the Company will supply information disclosure documents through the website of the Company at www.cnoocltd.com, the official website of the SSE at www.sse.com.cn and the media in accordance with the conditions prescribed by China Securities Regulatory Commission (the “CSRC”) pursuant to the regulations of the CSRC and the SSE.


Registered Shareholders

A registered shareholder of Hong Kong Shares will receive a notice of publication each time before the Company issues any Corporate Communication. If a registered shareholder of Hong Kong Shares wishes to receive a Corporate Communication through electronic means, please provide your email address by completing and signing the reply form enclosed to the relevant notice of publication, and returning the reply form in accordance with instructions provided in such notice. If no reply forms are received within the timeframe specified in such notice, or if no functional email address is stated in a reply form, we will despatch printed copies of such Corporate Communication to you.


Non-registered Holders

The Company will issue a notice of publication each time when the Company issues a Corporate Communication on the website of the Company at www.cnoocltd.com and the HKEXnews website at www.hkexnews.hk. As a non-registered holder of Hong Kong Shares, if you wish to receive a Corporate Communication through electronic means, you should liaise with your bank(s), broker(s), custodian(s), nominee(s) or HKSCC Nominees Limited through which your Shares are held (collectively, the “Intermediaries”) and provide your email address to your Intermediaries. If you wish to receive a Corporate Communication in printed form, please complete and return the reply form enclosed to the relevant notice of publication or send an email in accordance with instructions provided in such notice.
